Terms of Service

Welcome to MatchWrench. These Terms of Service ("Terms") govern your access to and use of the MatchWrench platform, website, and related services (collectively, the "Services") provided by Vanilla Voice AI LLC, a Delaware limited liability company doing business as MatchWrench ("MatchWrench," "we," "us," or "our").
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. What MatchWrench Is
MatchWrench is an online marketplace that connects vehicle owners ("Customers") with independent auto repair, body, and detailing businesses ("Shops" or "Vendors"). When a Customer submits a service request, MatchWrench notifies up to three vetted Shops in the Customer's area. Shops decide whether to accept the request, and Customers ultimately choose which Shop to work with.
MatchWrench is a technology platform that facilitates connections. MatchWrench is not a party to any agreement between Customers and Shops. MatchWrench does not perform repair, body, or detailing work, does not employ Shops, does not warrant or guarantee the work performed by any Shop, and does not control the pricing, scheduling, quality, or terms of services provided by Shops.
2. Eligibility
To use the Services, you must:
- Be at least 18 years of age.
- Have the legal capacity to enter into a binding contract.
- Provide accurate, current, and complete information.
- Not be prohibited from using the Services under applicable law.
Vendor accounts may only be created and used by authorized representatives of a legitimate business operating in compliance with all applicable state and federal laws.
3. Customer Terms
Service requests
When you submit a service request through MatchWrench, you authorize us to share the information you provide with Shops we match to your request. Shops will contact you using the contact information you provide.
Direct relationship with Shops
Any agreement to perform automotive work is between you and the Shop you choose. MatchWrench is not responsible for, and does not warrant or guarantee, the quality, timing, pricing, safety, or any other aspect of work performed by Shops. Disputes about work quality, pricing, scheduling, or any related matter must be resolved directly with the Shop.
No fees for Customers
Customers do not pay MatchWrench to submit service requests or to be matched with Shops. Customers pay Shops directly for any services performed, on terms agreed between Customer and Shop.
4. Vendor (Shop) Terms
Subscription and lead fees
Vendors pay MatchWrench through a monthly subscription plan (currently offered in Basic, Pro, and Elite tiers). Pricing for each plan is displayed during signup and in the Vendor dashboard.
Payment authorization
By providing payment information, you authorize MatchWrench (through its payment processor, Stripe) to charge:
- Your monthly subscription fee on the recurring date for as long as the subscription is active.
- Any additional fees authorized in advance, such as expanded service area fees.
Refunds
Refunds are not automatic. To request a refund, submit a refund request through your Vendor dashboard with a reason. MatchWrench reviews each request and may approve, partially approve, or deny it at our reasonable discretion. Approved refunds are processed through our payment processor and may take 5-10 business days to appear on your card.
Chargebacks. Vendors agree not to initiate a credit card chargeback for any MatchWrench charge without first submitting a refund request through the platform and allowing MatchWrench a reasonable opportunity to respond. Filing a chargeback without first requesting a refund through MatchWrench is a material breach of these Terms and may result in immediate account termination and pursuit of the disputed amount through collections.
Vendor accuracy and licensing
You represent and warrant that:
- All information you provide in your Vendor profile is true, accurate, and current.
- You hold all licenses, permits, and insurance required to legally operate your business.
- You will promptly update your profile if any of this information changes.
- You will not misrepresent your qualifications, certifications, or capabilities.
Vendor conduct
Vendors agree to:
- Respond to accepted leads in a timely and professional manner.
- Honor pricing and service commitments made to Customers in writing.
- Not solicit Customers to bypass MatchWrench on future jobs to avoid lead fees.
- Not misuse Customer contact information.
- Comply with all applicable consumer protection, automotive repair, and business regulations.
Approval, suspension, and removal
MatchWrench reserves the right to reject, suspend, or terminate any Vendor account at our discretion, including for incomplete applications, expired insurance, customer complaints, chargebacks, breach of these Terms, or any conduct that harms Customers, other Vendors, or the platform.
5. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of applicable laws.
- Submit false, misleading, or fraudulent information.
- Submit service requests on behalf of someone else without their consent.
- Impersonate any person or entity.
- Attempt to gain unauthorized access to other accounts or the platform.
- Reverse engineer, decompile, or scrape the Services.
- Use the Services to harass, abuse, defame, or otherwise harm others.
- Transmit viruses, malware, or other malicious code.
- Use any robot, spider, or other automated means to access the Services without authorization.
- Interfere with or disrupt the operation of the Services.
6. Communications and SMS Consent
By creating an account, you agree to receive transactional communications from MatchWrench by email and, if you opt in, by SMS. Transactional communications include account confirmations, service request updates, lead notifications, payment receipts, and similar messages necessary for the operation of the Services.
SMS messages require your explicit consent during signup. You may opt out at any time by replying STOP to any message, by adjusting notification preferences in your dashboard, or by contacting support@matchwrench.com. Message and data rates may apply. See our Privacy Policy for more details.
7. Intellectual Property
All content on the Services, including text, graphics, logos, the MatchWrench name and brand, software, and the underlying technology, is the property of MatchWrench (or Vanilla Voice AI LLC) or our licensors and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works of any content without our prior written permission.
You retain ownership of any content you upload (such as photos and profile information), but you grant MatchWrench a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute that content for the purpose of operating and promoting the Services.
8. Termination
You may terminate your account at any time by contacting us at support@matchwrench.com or, for Vendors, by canceling your subscription through your dashboard. Termination of a Vendor account does not entitle you to a refund of any prepaid subscription fee for the current billing cycle.
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including breach of these Terms.
9. Disclaimers
The Services are provided on an "as is" and "as available" basis. MatchWrench makes no warranties, express or implied, regarding the Services, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Services will be uninterrupted or error-free.
MatchWrench does not warrant, endorse, guarantee, or assume responsibility for any service performed by any Shop. Any transaction or dispute between a Customer and a Shop is solely between those parties.
10. Limitation of Liability
To the maximum extent permitted by law, MatchWrench and its officers, directors, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of data, loss of goodwill, or other intangible losses, arising out of or in connection with your use of the Services.
In no event will MatchWrench's total aggregate liability arising out of or related to these Terms or the Services exceed the greater of (a) the amount you paid MatchWrench in the twelve months preceding the event giving rise to the liability or (b) one hundred U.S. dollars ($100).
11. Indemnification
You agree to indemnify, defend, and hold harmless MatchWrench and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any dispute between you and a Customer or Vendor.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
You and MatchWrench agree to attempt to resolve any dispute informally before initiating any formal proceeding. To initiate informal dispute resolution, contact us at support@matchwrench.com.
13. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Material changes will be communicated by email or through notification within the Services.
14. Miscellaneous
These Terms, together with our Privacy Policy, constitute the entire agreement between you and MatchWrench regarding the Services. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them freely.
