The short version:MatchWrench helps you find local auto shops. We collect your request and forward it to shops you choose. We don't do the repairs ourselves and we don't verify shop credentials independently. Use of this site means you agree to the terms below.

1. Acceptance of these Terms

These Terms of Service ("Terms") form a legal agreement between you and Vanilla Voice AI LLC, a Delaware limited liability company doing business as MatchWrench ("MatchWrench," "we," "us," or "our"). The Terms govern your use of the MatchWrench website, mobile interfaces, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Section 18 includes a binding arbitration clause and class action waiver. Please read it carefully — it affects your legal rights.

2. What MatchWrench is

Plain English:We're a directory and lead-routing platform. You tell us what you need; we send your request to local shops. The shop does the work — not us. We don't take payment for repairs.

The Service is an online marketplace and lead-generation platform that connects individuals seeking auto repair, body work, or detailing services ("Customers") with independent auto service businesses ("Shops"). MatchWrench provides the platform that facilitates this connection.

MatchWrench is not an auto repair business. We do not perform repairs, employ technicians, own service facilities, or take possession of vehicles. We do not process payments for repair services. All work performed by Shops is the sole responsibility of those Shops, and Customers contract directly with the Shop they select.

3. Who can use MatchWrench

You must be at least 18 years old and able to form a binding contract to use the Service. If you are using the Service on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.

Shops must be lawfully operating auto repair, body, or detailing businesses with all licenses, permits, and insurance required by applicable law.

4. Accounts

Some features of the Service require an account. You agree to provide accurate, current, and complete information when you register and to keep your account information up to date. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials.

You agree to notify us immediately if you suspect unauthorized use of your account. We are not liable for losses caused by unauthorized account use.

5. Using MatchWrench as a customer

Customers can use the Service at no charge to request quotes from Shops. When you submit a request, you authorize MatchWrench to share the information you provide — including your name, email, phone number, vehicle details, and a description of the services you need — with the Shops you select.

You acknowledge that:

  • Shops you contact may reach out to you by phone, email, text message, or pre-recorded message. See Section 10 for details on your consent to receive these communications.
  • Any contract for services is between you and the Shop, not MatchWrench. Pricing, scope, quality, warranty, payment, and dispute resolution are between you and the Shop.
  • You should independently evaluate any Shop before authorizing work. MatchWrench does not independently verify Shop credentials, licenses, insurance, or work quality. See Section 9.
  • You are responsible for the accuracy of information you submit and may not submit false, misleading, or fraudulent requests.

6. Using MatchWrench as a shop

Shops use the Service to receive leads from Customers and to display business information on their MatchWrench profile. By signing up as a Shop, you represent and warrant that:

  • You are authorized to act on behalf of the business you list;
  • You hold all licenses, permits, and insurance required by applicable law;
  • The information you provide about your business, certifications, services, pricing, and policies is true and accurate;
  • You will perform any services you contract with a Customer in a competent, lawful, and professional manner;
  • You will not use Customer contact information received via MatchWrench for any purpose other than responding to the specific request that produced the lead, except as the Customer separately authorizes.

Response time: You agree to make a good-faith effort to respond to leads within two (2) to four (4) business days of receipt. Repeated failure to respond may result in suspension or termination of your account at our discretion.

Lead use: Leads received through MatchWrench are for use by the receiving Shop only. You may not sell, share, transfer, resell, or republish leads to any third party. Doing so is grounds for immediate termination and may result in legal action.

7. Shop fees and billing

Plain English:Customers don't pay MatchWrench. Shops pay a monthly subscription based on the tier they pick. You can cancel anytime.

The Service is free for Customers. Shops may use the Service under a free listing or by subscribing to a paid plan (currently Basic, Pro, or Elite). Plan features and pricing are described on the pricing page, which may be updated from time to time.

Subscription fees are billed monthly in advance via the payment method you provide. Fees are non-refundable except as required by applicable law or expressly stated in these Terms.

Cancellation: You may cancel your paid subscription at any time through your dashboard or by contacting us. Cancellation takes effect at the end of your current billing period; you will retain access to paid features through that period.

Price changes:We may change subscription pricing or plan features with at least thirty (30) days' advance notice via email or in-account notification. Continued use of the Service after a price change takes effect constitutes your acceptance.

Failed payments: If a payment fails, we may suspend paid features until payment is current. Repeated failed payments may result in account termination.

8. How leads work and our limits

We use the information Customers provide — services needed, location, vehicle, and contact information — to match them with Shops we believe are relevant. Customers choose which Shops receive their information, either by selecting individual Shops or by using the "send to top matches" option.

Ranking:Search and listing results may be ranked based on multiple factors including subscription tier, distance, ratings, and other signals. Shops on paid tiers may receive preferential placement; we label such placements as "Featured" where appropriate.

No guarantees of lead volume or outcomes: We do not guarantee that any Shop will receive a specific number of leads, that any lead will result in a sale, or that any Customer will receive a response from any specific Shop. Lead volume varies based on market demand, geography, plan tier, and other factors.

Lead quality: We do not screen or verify the accuracy of Customer submissions. Customers may submit information that turns out to be inaccurate or that does not result in a paying engagement. Shops accept this risk as part of using the Service.

9. Shop-reported information

Plain English:Shops tell us about themselves — their certifications, services, policies, prices. We display what they tell us. We don't independently verify any of it.

Information displayed on Shop profiles — including certifications, years in business, insurance, warranty terms, service offerings, prices, and policies — is provided by the Shop and not independently verified by MatchWrench. Customers should evaluate Shops directly and confirm any details that are material to their decision.

Ratings or review counts that appear on the Service from third-party sources (such as Google) are aggregated from those sources and may not reflect the most current data. Customers should consult the original source for the latest information.

10. Communications and consent

Plain English: By submitting a request, you agree that MatchWrench and the Shops you choose can contact you by phone, text, email, and pre-recorded message — including via automated dialing — at the contact info you provided. You can opt out anytime by replying STOP to texts or emailing privacy@matchwrench.com.

By submitting a request through MatchWrench, you expressly consent — under the Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227, and applicable state law — to receive communications from MatchWrench and from the Shops you select. Such communications may include phone calls, text messages, emails, and pre-recorded messages, and may be delivered using an automatic telephone dialing system or other automated technology, to the phone number and email address you provided.

Standard message and data rates may apply. This consent is not required as a condition of any purchase, and your decision to provide consent or not will not affect whether you can independently contact a Shop directly.

Opting out: You may revoke this consent at any time by replying STOP to any text message we send, by emailing privacy@matchwrench.com, or by following the unsubscribe link in any email. Revocation applies to future communications and does not affect requests already submitted to Shops.

11. Things you can't do

You agree not to:

  • Use the Service in any way that violates any applicable law or regulation;
  • Submit false, misleading, or fraudulent information, including fake customer requests, fake reviews, or fake business credentials;
  • Use the Service to harass, threaten, defame, or harm any other user;
  • Scrape, harvest, or otherwise collect data from the Service except as authorized in writing by MatchWrench;
  • Resell, redistribute, or aggregate leads obtained through the Service to third parties;
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service;
  • Bypass or attempt to bypass any access controls, rate limits, or security features;
  • Use the Service to send spam, unsolicited marketing, or unwanted communications;
  • Impersonate any person or entity, including any MatchWrench employee or another user;
  • Interfere with or disrupt the Service, including by introducing malware or other harmful code.

12. Intellectual property

The Service, including its design, code, content, logos, trademarks, and other materials, is owned by MatchWrench or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written permission.

By submitting content to the Service — such as Shop profile information, photos, descriptions, or reviews — you grant MatchWrench a worldwide, non-exclusive, royalty-free, sublicensable license to use, display, reproduce, and distribute that content for purposes of operating and promoting the Service. You represent that you have all necessary rights to grant this license.

13. Disclaimers — no warranties

Plain English:We provide the Service "as is." We don't guarantee that Shops will be good, available, or honest. Use the Service at your own risk.

The Service is provided "as is" and "as available" without warranty of any kind, express or implied. To the maximum extent permitted by applicable law, MatchWrench disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing:

  • We do not warrant that the Service will be uninterrupted, error-free, secure, or free from harmful components.
  • We do not warrant the quality, reliability, professionalism, licensing, certifications, or work product of any Shop. Shops are independent businesses, not employees or agents of MatchWrench.
  • We do not warrant the accuracy of Shop-reported information, third-party data (including Google ratings), or pricing estimates displayed on the Service.
  • We do not warrant that any Customer request will be answered or that any Shop will be available to perform requested services.

14. Limitation of liability

To the maximum extent permitted by applicable law, MatchWrench, its parents, subsidiaries, affiliates, officers, directors, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including but not limited to damages for lost profits, lost revenue, lost data, business interruption, or loss of goodwill — arising out of or relating to your use of the Service, even if we have been advised of the possibility of such damages.

In no event will MatchWrench's total liability to you for any and all claims arising out of or relating to the Service exceed the greater of (a) the total fees you paid to MatchWrench in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

15. You indemnify us

You agree to defend, indemnify, and hold harmless MatchWrench and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service;
  • Your breach of these Terms;
  • Your violation of any law or the rights of any third party, including any Customer or Shop;
  • For Shops: any work you perform (or fail to perform) for a Customer, including any warranty, refund, or quality dispute;
  • For Customers: any false, misleading, or fraudulent information you submit through the Service.

16. Termination

You may stop using the Service at any time. To close your account, contact us at support@matchwrench.com.

We may suspend or terminate your access to all or part of the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms or that your conduct could harm MatchWrench, other users, or third parties. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination — including disclaimers, limitations of liability, indemnification, and dispute resolution — will survive.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service at least thirty (30) days before the changes take effect. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service before they take effect.

18. Disputes, arbitration, class action waiver

Plain English:If you have a dispute with us, you have to handle it through arbitration, not court — and you can't bring a class action. There's a way to opt out if you do it within 30 days of accepting these Terms.

Informal resolution first. Before filing any claim, you agree to try to resolve the dispute informally by contacting us at legal@matchwrench.com. We'll try to resolve the dispute by good-faith negotiation within sixty (60) days.

Binding arbitration.If we can't resolve the dispute informally, you and MatchWrench agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively through final and binding arbitration administered by JAMS (or another mutually agreed provider) under JAMS' applicable rules. The arbitration will be conducted in English in Wilmington, Delaware, or remotely by mutual agreement. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

Class action waiver. You and MatchWrench agree that any arbitration or court proceeding will be conducted only on an individual basis, not as a class, collective, or representative action. The arbitrator may not consolidate the claims of more than one person or preside over any form of representative or class proceeding.

Exceptions. Either party may bring an individual action in small-claims court for disputes within the jurisdiction of that court. Either party may seek injunctive or other equitable relief in court to protect intellectual property rights.

30-day opt-out. You may opt out of this arbitration agreement by sending written notice to legal@matchwrench.com within thirty (30) days after first accepting these Terms. Your notice must include your full name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out, the rest of these Terms still apply.

19. Governing law

These Terms and any dispute arising out of or related to them or the Service are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Subject to the arbitration provision in Section 18, any judicial proceeding (such as for injunctive relief or to enforce an arbitration award) will take place in the state or federal courts located in Wilmington, Delaware, and the parties consent to the jurisdiction of those courts.

20. General provisions

Entire agreement. These Terms, together with the Privacy Policy and any other policies referenced here, constitute the entire agreement between you and MatchWrench regarding the Service and supersede any prior agreements.

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any right or provision will not be considered a waiver of that right or provision.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms freely.

No agency. Nothing in these Terms creates any agency, partnership, employment, or joint venture relationship between you and MatchWrench.

Headings. Section headings are for convenience only and do not affect interpretation.
